Terms & Conditions

The rules that govern your use of the ERPTron website, platform and services.

Section 01

Acceptance of these terms

These Terms and Conditions govern your access to and use of the ERPTron website, platform and related services. By using the website, requesting a demo, subscribing to any module or clicking to accept where that option is presented, you agree to these terms.

If you use the services on behalf of an institution, you confirm that you are authorised to accept these terms for that institution, and the institution is bound by them.

Section 02

Description of services

ERPTron provides an ERP and CRM platform for educational institutions, including modules such as School OS, admissions, fee collection, examinations, HR, transport and library management, along with website and custom development services.

  • Modules, features and limits are described on our website or in your order form, and may evolve as the product improves.
  • Custom development work is governed by the applicable statement of work in addition to these terms.
  • We may add, change or retire non-core features, and will give reasonable notice for changes that materially reduce functionality you rely on.

Section 03

Eligibility and accounts

  • You must provide accurate, current information when creating an account and keep sign-in credentials confidential.
  • You are responsible for all activity under your accounts, including activity by your staff, and for assigning roles appropriately.
  • Notify us immediately at contact@erptron.com if you suspect unauthorised access.
  • Accounts are for your institution's internal use and may not be shared with third parties or resold.

Section 04

Acceptable use

You agree not to:

  • Use the services for any unlawful purpose or in violation of any applicable regulation.
  • Upload content or data you do not have the right to process, including student data without required consents.
  • Attempt to probe, scan, breach or disrupt the security of the platform or other users.
  • Reverse engineer the platform except where such restriction is prohibited by law.
  • Misrepresent your identity, or use the platform to send spam or harass any person.

We may suspend accounts that violate these rules, with notice where practicable, while we investigate.

Section 05

Fees, billing and renewal

  • Subscription fees are stated in your order form or plan confirmation and are exclusive of applicable taxes unless stated otherwise.
  • Fees are invoiced per the agreed cycle, and are payable within 15 days of invoice unless agreed differently in writing.
  • Subscriptions renew automatically at the end of each cycle unless either party gives written notice of non-renewal before the renewal date.
  • Overdue amounts may attract interest at 1.5% per month or the maximum permitted by law, and continued non-payment can lead to suspension of access.
  • Fees are non-refundable except where required by law or expressly stated in your order form.

Section 06

Service levels and support

  • Support is included in every plan, reachable on +91 78721 44134, +91 70476 44224 and contact@erptron.com during business hours, with 24/7 channels for critical outages.
  • We target one business day acknowledgement and seven business days resolution for standard issues, and faster targets for critical outages as per your plan.
  • Planned maintenance is scheduled in advance and announced where possible.
  • Uptime targets, if purchased, are as stated in your order form and form part of these terms.

Section 07

Intellectual property

The platform, software, designs, documentation, brand assets and related materials are owned by ERPTron or its licensors and are protected by intellectual property law.

You retain all rights to the data and content your institution enters into the platform. You grant us a limited licence to process that data strictly to provide and secure the services.

You may not copy, modify, distribute or create derivative works from the platform beyond what these terms and your subscription explicitly allow.

Section 08

Confidentiality and data protection

Each party will protect the other's confidential information with at least the same care it uses for its own, and use it only for the purposes of this agreement.

Processing of personal data is described in our Privacy Policy, which forms part of these terms. Where your institution acts as a data fiduciary for student or staff data, we act as a processor and follow your documented instructions, subject to applicable law including the Digital Personal Data Protection Act, 2023.

Section 09

Third-party services

The platform may integrate with third-party services such as payment gateways, SMS and email providers, cloud infrastructure or maps. Your use of those services is also governed by the third party's own terms, and we are not responsible for their acts or omissions except as stated in your order form.

Section 10

Disclaimers and limitation of liability

The services are provided with reasonable skill and care. To the extent permitted by law, we disclaim other implied warranties, including merchantability and fitness for a particular purpose.

  • Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost data, however caused.
  • Our total liability for any claim is limited to the fees paid by you for the service in the 12 months before the claim arose.
  • Nothing in these terms limits liability that cannot be limited by law, including for fraud or gross negligence.

Section 11

Termination and suspension

  • You may stop using the services and cancel renewal at any time, subject to fees already due.
  • We may suspend or terminate access for material breach of these terms, non-payment, or legal necessity, with notice where practicable.
  • On termination, your institution can export its data during a 30-day grace period, after which we delete it as described in the Privacy Policy.
  • Sections that by their nature should survive termination, such as confidentiality, liability and governing law, will survive.

Section 12

Governing law and disputes

These terms are governed by the laws of India. The courts of Bengaluru, Karnataka have exclusive jurisdiction, except that either party may seek injunctive relief for intellectual property or security breaches.

Before filing a case, we ask you to raise the issue with our grievance officer or through our complaints page, and we will attempt good-faith resolution for 30 days.

Section 13

Changes to these terms

We may update these terms from time to time. The current version is always on this page with the last-updated date at the top. For changes that materially reduce your rights, we will notify institution administrators by email or in-product at least 15 days before they take effect. Continuing to use the services after that means you accept the updated terms.
